Terms of Delivery

2.
Receiving party  agrees to broadcast/publish the content within the time limits and limits for number of repeats described in the accompanying letter (if any). Receiving party will fully indemnify RNW and hold RNW harmless against all possible claims by third parties arising from the non-compliance by Receiving party with said limitations.

Receiving party explicitly acknowledges and agrees that RNW assumes no liability whatsoever for any damages, costs and/or expenses incurred by receiving party  in connection with the (re)broadcast/(re)publishing of the content by receiving party.

It is hereby agreed that the content shall be delivered by RNW to Receiving party on a non-exclusive basis. Any use of any RNW material implies acceptance of these terms in full.

Receiving party shall not pass on the delivered content to any third party, nor grant any right to any third party to (re)broadcast/(re)publish the content, except with prior written consent of RNW.

Receiving party shall not edit the content without prior written permission from RNW, however receiving party  is allowed to edit out parts of the content in case such edits are necessary to comply with any local (broadcasting) regulations and (broadcasting) license conditions.

Receiving party shall give full credit to RNW for the delivered content broadcasted/published.

It is hereby expressly agreed between the parties that all copyrights in and related to the delivered content are fully vested with RNW. Notwithstanding anything of the foregoing, Receiving party explicitly acknowledges and agrees that all rights the exercise whereof has been exclusively assigned to collective copyright collection societies (for example – but not limited to – the use of music in the content) or any other local organization are not cleared by RNW. Receiving party will be fully responsible for the adequate and timely payment of any fees to any collective copyright collection society or any other local organization in connection with the (re)broadcast of the content. Receiving party indemnifies and keeps RNW harmless from any claims arising out the non (timely) fulfillment of this obligation by Receiving party.

In case Receiving party has the means to measure how many people where reached by broadcasting/publishing the delivered content (for example if receiving party counts the number of page views), receiving party will disclose these numbers to RNW within a month after broadcasting/publishing delivered content for the first time.

10.
Receiving party will notify RNW within a month after broadcasting/publishing the delivered content at what date/time and via which channels  the delivered content was broadcasted/published.
